Terms of Service
Last updated October 14, 2026
Effective date: October 14, 2026
Last updated: October 14, 2026
These Terms of Service (the “Terms”) are a binding agreement between you and Auxilian Technologies, Inc. (“Auxilian,” “we,” “us,” or “our”). They govern your use of the Auxilian web application at app.auxilian.ai, the Auxilian MCP server at mcp.auxilian.ai, and any related services (together, the “Service”).
PLEASE READ THESE TERMS CAREFULLY. SECTION 15 LIMITS OUR LIABILITY. SECTION 18 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
You accept these Terms when you sign in to, connect to, or otherwise use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree to these Terms, do not use the Service.
Our Privacy Policy explains how we handle personal information and forms part of these Terms.
1. The Service
Auxilian provides hosted Postgres storage organized into workspaces and projects. You can manage it through a web application, and AI agents you authorize can manage it through the Model Context Protocol (“MCP”). You and your agents can:
- Create projects and tables.
- Read and write rows.
- Share access with other people.
- Review an activity log.
The Service is currently offered free of charge. We may change, add, or remove features at any time. If we introduce paid features, we will tell you in advance, and you will not be charged unless you expressly sign up for them.
2. Eligibility and Accounts
- Age. You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Service.
- Sign-in. You sign in with a Google account through our authentication provider. You are responsible for:
- Keeping your Google account secure.
- All activity that occurs under your Auxilian account, including activity by AI agents you have connected.
- Accurate information. You must not impersonate anyone or create accounts by automated means or under false pretenses.
- One person, one account. You may not share your account with others. Invite them to your workspace instead.
- Restricted persons. You may not use the Service if you are barred from receiving it under U.S. or other applicable law, including if you are on any U.S. government sanctions or restricted-party list or located in a comprehensively sanctioned country or region.
Notify us promptly at [email protected] if you suspect unauthorized access to your account.
3. Workspaces, Roles, and Sharing
- Workspaces. Every account has a personal workspace. A workspace has an owner and may have admins and members. Owners and admins can:
- Create projects.
- Invite and remove members.
- Read and write every project in the workspace.
- Project sharing. Project creators, owners, and admins can grant other workspace members read or write access to individual projects.
- Your responsibility. You are responsible for whom you invite and the access you grant. Anyone you grant access can view, copy, export, change, or delete the content they can reach. Removing someone stops their future access. It does not recall copies they already made.
- Workspace content belongs to the workspace. Projects created in a workspace belong to that workspace and are controlled by its owner. If you leave or are removed from a workspace, or delete your account, projects you created there stay with the workspace.
4. AI Agents and the MCP Connector
- Authorization. You can connect an AI client, such as Claude, to Auxilian. When you approve a connection, you authorize that client to act as you, within the permissions (scopes) you approve. For example, read-only access, or read and write access.
- You are responsible for your agents. Actions an AI agent takes through your connection are treated as your actions under these Terms. This includes reading, creating, changing, sharing, and deleting data. AI systems can misunderstand instructions and make mistakes, and they may take actions you did not intend. You are responsible for:
- Reviewing what your agents do.
- Granting only the permissions you need.
- Revoking access you no longer want.
- Third-party AI providers. AI clients are provided by third parties, such as Anthropic, not by us. Your use of them is governed by their terms. Data an AI client retrieves from Auxilian is sent to and handled by that provider. We are not responsible for third-party AI clients or for what they do with your data.
- No reliance on AI output. We do not control or guarantee the accuracy of any content generated by an AI agent, including content written into your projects.
5. Your Content
- Ownership. As between you and us, you or your licensors keep all rights in the data and materials you, other members of your workspaces, or your AI agents submit to the Service (“Customer Content”).
- License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, display, and back up Customer Content. This license lets us:
- Provide, secure, and support the Service for you.
- Carry out your instructions, including instructions given by your authorized AI agents.
- Comply with law.
We do not use Customer Content to train AI models, and we do not sell it.
- Your responsibilities. You represent and warrant that:
- You have all rights, licenses, consents, and legally required notices needed to submit Customer Content and to let us process it under these Terms and our Privacy Policy, including for any personal information about other people.
- Customer Content and your use of the Service do not violate any law or anyone's rights.
- Sensitive data. The Service is not designed or certified for regulated or sensitive data, and you must not submit it. Prohibited data includes:
- Protected health information subject to HIPAA.
- Payment card data subject to PCI DSS.
- Government identification numbers.
- Biometric data.
- Information about children under 13.
- “Special category” personal data under the GDPR.
- Backups are your job. We take reasonable operational measures, but you are responsible for keeping your own copies of Customer Content. Use the CSV export or your own tools. Deleted data cannot be recovered.
6. Usage Limits
The Service is free, and it enforces limits to keep it that way. Current limits include caps on:
- Projects per workspace.
- Members per workspace.
- Tables per project.
- Columns per table.
- Storage per project.
- Row and cell size.
- Rows per write and per export.
- Request rates.
We may change these limits at any time. Where practical, we will give notice before lowering a limit in a way that affects existing content. You must not try to get around any limit, for example by creating multiple accounts or workspaces to exceed quotas.
7. Acceptable Use
You must not, and must not let anyone else, including any AI agent acting for you:
- Use the Service for anything illegal. Do not use it to store or distribute content that infringes, misappropriates, or violates anyone's intellectual property, privacy, or other rights.
- Upload or store:
- Malware.
- Child sexual abuse material.
- Content that facilitates violence, terrorism, or human trafficking.
- Content that is defamatory, harassing, or hateful toward people based on protected characteristics.
- Use the Service to send spam. Do not use it to run phishing operations or to host or distribute material for fraud.
- Collect or store personal information without a lawful basis and all legally required notices and consents.
- Probe, scan, or test the vulnerability of the Service, except under a written agreement with us. Do not breach or get around any security, authentication, permission, rate-limit, or quota mechanism.
- Access, or try to access, other users' data, workspaces, or projects without authorization.
- Interfere with or disrupt the Service or its infrastructure. Do not place an unreasonable load on it, for example through denial-of-service attacks or excessive automated traffic.
- Reverse engineer, decompile, or try to extract the source code of the Service, except where the law forbids this restriction.
- Resell, sublicense, or provide the Service to third parties as a hosted database service. Do not use the Service to build a competing product.
- Use the Service in high-risk environments where its failure could lead to death, personal injury, or serious physical or environmental damage, such as medical, aviation, nuclear, or emergency-response systems.
- Violate applicable export-control or sanctions laws.
We may investigate suspected violations. We may remove or disable access to content, and we may suspend or terminate accounts, under Section 12.
8. Copyright Complaints
We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice that meets the requirements of the Digital Millennium Copyright Act (17 U.S.C. § 512(c)(3)) to our designated agent:
Copyright Agent, Auxilian Technologies, Inc.
251 Little Falls Drive, Wilmington, DE 19808, United States
Email: [email protected]
We may remove allegedly infringing content, and we terminate the accounts of repeat infringers where appropriate.
9. Our Intellectual Property
The Service, including its software, design, text, graphics, logos, and the “Auxilian” name, belongs to us and our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Service for its intended purpose. We reserve all rights not expressly granted.
10. Feedback
If you send us suggestions, ideas, or other feedback, we may use them for any purpose without obligation or compensation to you.
11. Third-Party Services
The Service relies on and interoperates with third-party services. These include:
- Google sign-in.
- WorkOS, for authentication.
- Cloudflare and Supabase, for infrastructure.
- AI clients you choose to connect.
We do not control third-party services and are not responsible for them. Your use of them may be subject to their own terms.
12. Suspension and Termination
- By you. You may stop using the Service at any time and delete your account from Settings. Our Privacy Policy explains what happens to your data when you do.
- By us. We may suspend or terminate your access to all or part of the Service, with or without notice, if:
- We reasonably believe you have violated these Terms.
- Your use poses a security, legal, or operational risk to us or others.
- The law requires it.
- Your account has been inactive for an extended period.
Where practical and lawful, we will give you notice and a chance to export your Customer Content first.
- Discontinuing the Service. We may stop offering the Service. If we do, we will give at least 30 days' notice through the Service or by email, so you can export your Customer Content.
- Effect of termination. When your account ends, your right to use the Service ends, and we may delete your Customer Content as described in our Privacy Policy. These sections survive termination: 5.3, 5.5, 9, 10, and 13 through 19.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” FREE OF CHARGE, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
- ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
- DATA WILL NOT BE LOST OR CORRUPTED.
- DEFECTS WILL BE CORRECTED.
- ANY CONTENT, INCLUDING CONTENT CREATED OR MODIFIED BY AI AGENTS, WILL BE ACCURATE OR RELIABLE.
WE OFFER NO SERVICE-LEVEL COMMITMENT.
Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.
14. Indemnification
You will defend, indemnify, and hold harmless Auxilian and its affiliates, officers, directors, employees, and agents against any third-party claims, and against related losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees), arising out of or relating to:
- Your Customer Content.
- Your use of the Service, including actions taken by AI agents you have connected.
- Your violation of these Terms or of applicable law.
- Your violation of anyone's rights.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- NEITHER AUXILIAN NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS WILL BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
- ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA.
- THE COST OF SUBSTITUTE SERVICES.
THIS APPLIES WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND UNDER ANY THEORY OF LIABILITY.
- OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
- ONE HUNDRED U.S. DOLLARS (US $100).
- THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY REFLECT A REASONABLE ALLOCATION OF RISK FOR A SERVICE PROVIDED FREE OF CHARGE.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the smallest extent the law permits. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, or for gross negligence or willful misconduct where the law prohibits limiting it.
16. Changes to These Terms
We may revise these Terms from time to time.
- Material changes. We will give at least 14 days' notice through the Service or by email before material changes take effect.
- Other changes. Changes that address new features or are made for legal reasons may take effect immediately.
The “Last updated” date shows when the Terms last changed. If you keep using the Service after changes take effect, you accept the revised Terms. If you do not agree, stop using the Service and delete your account.
17. Privacy and Consumer Rights
Our Privacy Policy explains how we handle personal information. If you are a consumer in the EEA, UK, or another jurisdiction with mandatory consumer-protection laws, these Terms do not take away any rights you have under those laws that cannot be waived by contract.
18. Governing Law and Disputes
- Governing law. These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
- Informal resolution first. Before filing a claim, each party agrees to try to resolve the dispute informally. To start, send written notice to the other party (for us, at [email protected]) and allow 60 days for resolution.
- Binding arbitration. If the dispute is not resolved, it will be resolved by binding individual arbitration. The arbitration is administered by the American Arbitration Association under its Consumer Arbitration Rules, and the Federal Arbitration Act governs this agreement to arbitrate. The arbitration may be held by video conference, or in the county where you live. There are two exceptions:
- Either party may instead bring an individual claim in small-claims court.
- Either party may seek injunctive relief in court for misuse of intellectual property.
- Class-action waiver. YOU AND WE AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If a court finds this waiver unenforceable for a particular claim, that claim will not be arbitrated. It will proceed in the courts identified below, and it will be stayed until any arbitrable claims are resolved.
- Opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days after you first accept these Terms. Include your name and the email address of your account.
- Venue. Any claims not subject to arbitration will be brought exclusively in the state or federal courts located in New Castle County, Delaware. You and we consent to personal jurisdiction there. This does not override any mandatory right you have under the law of your country of residence to bring proceedings in your home courts.
19. General
- Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Service. They supersede any prior agreements on that subject.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets, or to an affiliate.
- Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permissible, and the rest of these Terms will remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control. These include outages at our infrastructure providers, internet failures, natural disasters, labor disputes, and acts of government.
- No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
- Relationship. You and we are independent contractors. These Terms create no partnership, joint venture, agency, or employment relationship.
- Notices. We may send you notices by email to your account address or through the Service. You may send notices to us at [email protected] or the address below.
- Headings. Headings are for convenience only and do not affect interpretation. “Including” means “including without limitation.”
